FOREIGN CORRUPT PRACTICES ACT (FCPA): WHAT EVERYONE NEEDS TO KNOW ABOUT THE FCPA BECAUSE IT IMPACTS AMERICANS AND CITIZENS OF ALL COUNTRIES

Please plan to attend this most informative seminar presented by Dr. Belinda Gail Quarterman-Noah, Attorney/Professor as she answers your questions concerning how the American Foreign Corrupt Practices Act may impact your lives. For example, many individuals who are not Americans assume that the Foreign Corrupt Practices Act does not apply to them because it is a United States law. However, any person or entity constituting an Issuer, a Domestic Concern or a Foreign Non-Resident acting in the United States territory (territory is broadly defined to include internet  transactions which I will discuss in the seminar) may be subject to the FCPA regardless of their nationality through the acts of their officer, director, employee, agent or shareholder. The Foreign Corrupt Practices Act (FCPA) prohibits the payment of bribes to foreign officials to assist in obtaining or retaining business. The FCPA applies to a person or entity falling under any of the following three categories:  1.     Any issuer which has a class of securities registered pursuant to the Securities Exchange Act of 1934 (the "Exchange Act") or which is required to file reports under the Exchange Act (the "Issuer") or any officer, director, employee or agent of such Issuer, or any stockholder thereof acting on behalf of such Issuer. 2.     Any individual who is a citizen, national or resident of the United States, or any entity which has its principal place of business in the United States or is organized under the laws of the United States (the "Domestic Concern") or any officer, director, employee, agent of such Domestic Concern, or any stockholder thereof acting on behalf of such Domestic Concern; or 3.     Any person or entity other than an Issuer or a Domestic concern (a "Foreign Non-Resident') or any officer, director, employee, agent of such Foreign Non-Resident, or any stockholder thereof acting on behalf of such Foreign Non-Resident while in the territory of the United States. Plan to attend this most important seminar where Dr. Noah will explain the FCPA in detail and answer your questions without you having to ask!
